1. Acceptance of Terms

By accessing or using IntroPay.ai ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

2. Description of Service

IntroPay.ai is a platform that connects companies with referrers who have valuable business contacts. The Service facilitates:

• Companies inviting referrers to join their network
• Referrers sharing their CRM contacts securely
• Companies requesting warm introductions to specific contacts
• Automated email sending for approved introductions
• Payment processing for referrer earnings

3. Account Types and Responsibilities

3.1 Company Accounts

• Must subscribe to a paid plan to access features
• May invite referrers to their network
• May request introductions to referrer contacts
• Responsible for payment of monthly subscription and referral fees
• Must compose professional, appropriate introduction requests

3.2 Referrer Accounts

• Free to use - no subscription required
• May connect CRM systems (HubSpot, Gmail) to share contacts
• Review and approve/decline introduction requests
• Earn fees for approved introductions
• Responsible for accuracy of contact information
• Must have permission to share contact information

4. Subscription and Billing

4.1 Pricing

• Founding Member: $79.99/month (price locked forever, limited to 50 customers)
• Starter Plan: $99.99/month
• Free Trial: 30 days, no credit card required
• Referral Fee: $25 per successful introduction
• Platform Fee: $7.50 per introduction (30% of referral fee)
• Referrer Payout: $17.50 per introduction

4.2 Payment Terms

• Monthly subscriptions are billed in advance
• Referral fees are charged per successful introduction
• All payments processed securely through Stripe
• Prices are in USD

4.3 Refunds and Cancellation

• You may cancel your subscription at any time
• Cancellation takes effect at the end of the current billing period
• No refunds for partial months
• Founding Member locked pricing remains valid for active subscriptions
• Unused referral fees are non-refundable

5. Referrer Payouts

• Referrers earn $17.50 per approved and sent introduction
• Payouts processed via Stripe Connect
• Must complete bank account verification to receive payouts
• Payouts subject to Stripe's terms and processing times
• Minimum payout threshold may apply
• Tax reporting: 1099 forms issued for earnings over $600/year (US users)

6. User Conduct and Prohibited Activities

You agree NOT to:

• Share contacts without proper authorization
• Use the Service for spam or unsolicited communications
• Attempt to bypass payment systems
• Scrape or collect email addresses from the platform
• Impersonate others or provide false information
• Violate any applicable laws or regulations
• Interfere with the Service's operation
• Use automated tools to access the Service

7. Intellectual Property

The Service, including its design, code, content, and trademarks, is owned by IntroPay.ai and protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You may not copy, modify, distribute, sell, or lease any part of the Service.

8. Third-Party Integrations

Our Service integrates with third-party services (HubSpot, Gmail, Google Contacts). You acknowledge that:

• These integrations are governed by their own terms and privacy policies
• We are not responsible for third-party service availability or actions
• You must comply with the terms of service of integrated platforms
• You can disconnect integrations at any time

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF CONTACT INFORMATION OR INTRODUCTION OUTCOMES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTROPAY.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF YOUR USE OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless IntroPay.ai from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or violation of any rights of another party.

12. Termination

We reserve the right to suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent activity
• Fail to pay subscription fees
• Abuse the Service or other users

Upon termination, your right to use the Service will immediately cease. We may delete your data in accordance with our data retention policy.

13. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through:

1. Good faith negotiation between parties
2. Binding arbitration if negotiation fails
3. Governed by the laws of the State of Delaware, USA

You waive the right to participate in class-action lawsuits against IntroPay.ai.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use after changes constitutes acceptance of the modified Terms.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and IntroPay.ai regarding the Service and supersede all prior agreements.
